Key highlights from Q3

  • Volume keeps falling. Year to date, European tech M&A is about 42% below the same period of 2025 and Germany about 35% below. The German TMT market is normalising toward a pre-pandemic baseline, with 211 deals in H1 2026 against a peak of 375.
  • Software fell hardest. Application software deals in Europe halved to 108 in Q3, while IT services eased 15% to 121. In Germany, software still accounted for 132 of 186 technology deals in H1.
  • Valuations split by AI exposure. Buyers now sort software into AI-native, AI-resilient and AI-exposed, and pay accordingly. Listed systems software gained 20.6% in Q3, listed IT services only 1.8%.
  • Private equity is waiting for exits, and buying selectively. Sponsors hold dry powder and an exit backlog. Depressed software prices have opened a take-private window, and sponsor-to-sponsor sales of IT services and cybersecurity assets are in process.

Scope. Quarterly counts come from published adviser research covering Europe and Germany. Switzerland and Austria have no comparable public quarterly series, so Germany is the DACH proxy and the Swiss and Austrian pictures use annual and deal-level evidence. Definitions differ between sources, so figures from different publishers are not additive. See Sources.

Market

German tech deal flow settles toward pre-pandemic levels

The 2021 peak is well behind. What is left is a smaller, more selective market where corporates and foreign buyers do most of the buying.

Another German TMT dataset counts buyers differently and puts corporates at 36% of German TMT assets in H1, with financial sponsors taking the rest. The two views agree that sponsors are cautious and corporates are filling the gap.

Country lens

Germany

Core market, 78% of DACH ICT targets

A published DACH ICT study counted 371 deals across DACH in 2025 (down 16%), with Germany holding 78% of targets and software 46% of volume. Private equity's share rose to 25.6% and the median multiple reached about 14.0x EV/EBITDA.

Switzerland

IT and software doubled its share of SME deals

In 2025, Swiss SME M&A rose 16% to 208 deals. Inbound deals hit a record 104 (+65%), private equity took part in 116 deals (56% of the total), and IT services and software reached 28% of domestic and inbound deals, up from 14%. Temenos agreed to buy Zurich wealthtech additiv in June, with closing expected early in Q3.

Austria

Visible mainly through platform buyers

We found no quarterly Austrian tech series. The clearest Q3 signal is German-led consolidation: accompio, backed by EOS Partners, signed the acquisition of Austrian security operator techbold in July.

Public tech

Listed software rallied in Q3, listed IT services barely moved

Public peer groups give the pricing backdrop for private deals. The spread between segments is wide, and disclosed private multiples are thin.

Software

Software is still most of the volume, and AI exposure now sets the price

Application software deals in Europe fell 50% in Q3 to 108. Vertical and regulated German software is seen as better protected than generic horizontal SaaS.

The three-way sort buyers now apply

How diligence in German software is now described

AI-native: priced at a premium.

AI-resilient: defensible data, embedded workflows or high switching costs. Buyers pay up.

AI-exposed: a generative tool could copy the workflow within a year or two. Buyers discount aggressively.

This gap between buyer and seller expectations is the main brake on software deals.

Take-privates open up

Analysts see a take-private window for depressed software valuations. Warburg Pincus agreed to buy PSI Software for a reported EUR 595m.

Deal count eased 15% in Q3 to 121 across Europe, and listed prices were roughly flat. Strategic buyers make up about 55% of DACH IT services deal volume, while sponsors keep running add-on programmes in cloud, security and managed services.

Spotlight

Regulation keeps cybersecurity and managed services in demand

  • Mandatory spend. NIS2 and DORA create compliance deadlines for critical infrastructure and financial firms, so security spending does not follow the economic cycle. That is what sponsors want in a defensive asset.
  • Sponsor-to-sponsor rotation. In 2026 iC Consult moved from Carlyle to Bridgepoint (April). Securepoint came to market from Maxburg Capital Partners (February). Netcloud drew first-round bids of EUR 200m to 300m (April).
  • Consulting assets in play. Deutsche Beteiligungs AG prepared freiheit.com for sale (March), Armira put Salesfive Consulting into a process (April), and the owner of Eraneos explored a sale (May).
  • Platform buyers keep adding. accompio now counts about 900 IT staff across 22 sites in Germany, Austria, Hungary and Bulgaria, and bought both Denwerit and techbold within weeks.

What it means for business owners

Value Bridge Partners view

Position the business before the process. With the valuation spread this wide, the story on recurring revenue, regulated-sector know-how and AI resilience carries more of the price than it did two years ago.

Expect foreign and strategic buyers. Cross-border shares are at 57% in Europe and 68% in Germany, so a process built only around local sponsors leaves buyers out.

Prepare for AI diligence. Be ready to show why a generative tool cannot replace your product or delivery model.

Use the exit backlog. Sponsors that need to sell and strategics that need capability are both active, so well-prepared mid-market assets still clear.

Sources and method

This outlook compiles published third-party research and deal announcements. It is not built on a proprietary transaction database. Each figure carries a source label on the chart where it appears and keeps its publisher's definition. The full source list is available on request.

Read with care. Quarterly counts for Europe and Germany come from one published database. German TMT half-year counts, Swiss SME M&A figures and DACH ICT figures each come from separate studies with their own definitions. Multiples cover different company sizes, periods and deal types. The listed-company table is an undated third-party snapshot, and medians marked as ours are simple calculations on that snapshot.
